These Terms of Service (the “Terms”) govern access to and use of the NxtGateW software platform (deposit wallets, on-chain payment splits, webhooks, NFT / SBT APIs and related developer tools), edited and operated by NEXORA SASU (“NEXORA”, “we”, “us” or “our”).

They apply between NEXORA and any professional user (merchant, PSP, developer or company) who creates an account or uses the platform (“you”, “Merchant” or “User”). Consumers purchasing end-customer goods or services from a Merchant are not parties to these Terms.

Article 1 – Purpose

These Terms define the conditions under which NEXORA provides access to NxtGateW: managed deposit addresses, movement indexing, configurable on-chain splits, HTTP webhooks, membership and license NFT APIs, documentation and related dashboards.

Article 2 – Definitions

  • Platform means the NxtGateW websites, APIs, dashboards and related services.
  • Merchant / User means a professional who opens an account or uses API credentials.
  • Deposit wallet means a receive address generated or managed through the Platform for inbound crypto.
  • Split means an on-chain distribution of funds according to Merchant configuration.
  • API credentials means API key / secret (and optional HMAC material) issued to the Merchant.
  • End customer means a buyer or user of the Merchant’s own products or services.

Article 3 – Scope

These Terms apply to all use of the Platform unless a separate written agreement (e.g. enterprise MSA) expressly prevails.

Article 4 – Role of NEXORA

NEXORA edits and operates the NxtGateW software platform (wallet, NFT, automation and webhook infrastructure). Unless a separate written agreement states otherwise:

  • NEXORA provides technical access to the Platform and related APIs;
  • Merchants remain responsible for their own commercial offers, compliance obligations where applicable, and customer support toward End customers;
  • Crypto and assets held in or moved through wallets created via the Platform remain subject to the Merchant’s own custody and operational model, including export of private keys in client mode where enabled.

Article 5 – Account and credentials

You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your keys. Notify us promptly of any suspected compromise. We may require identity or business verification before enabling certain networks or limits.

Article 6 – Description of services

Depending on your configuration and environment, the Platform may provide:

  • creation of ephemeral or client-mode deposit wallets;
  • indexing of on-chain movements and wallet lifecycle states;
  • scheduled split execution and related webhooks;
  • NFT module endpoints (collections, mint queue, lifecycle, signed webhooks);
  • developer documentation, OpenAPI and interactive console.

Blockchain networks, gas prices, RPC availability and third-party explorers are outside NEXORA’s exclusive control.

Article 7 – API and acceptable use

You agree to:

  • use the API in accordance with documentation and rate / abuse safeguards;
  • not attempt to disrupt, reverse engineer (beyond lawful interoperability) or overload the Platform;
  • not use the Platform for unlawful activity, sanctions evasion, or prohibited crypto use cases;
  • secure webhook endpoints and verify signatures / IPN tokens.

Article 8 – Fees and platform share

Platform fees, split percentages and any subscription charges are those displayed in your account, order form or written commercial offer. On-chain gas is paid from the relevant wallets / operator keys you configure. Fees may change with reasonable notice for ongoing services.

Article 9 – Restrictions and third parties

The Platform may rely on third-party RPCs, explorers, hosting and email providers. Their availability can affect service quality. You remain responsible for contracts with your own PSPs, affiliates and End customers.

Article 10 – Security

We implement organisational and technical measures appropriate to a payments-related SaaS. You must protect private keys exported from the Platform, rotate secrets, and restrict dashboard access. No method of electronic transmission or storage is perfectly secure.

Article 11 – Personal data

Processing of personal data is described in our Privacy Policy. For Merchant account data, NEXORA typically acts as controller; for End-customer data that you push into the Platform, you may act as controller and NEXORA as processor under a DPA when applicable.

Article 12 – Intellectual property

The Platform, documentation, logos and software are owned by NEXORA or its licensors. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Platform for your internal business purposes. Feedback you provide may be used by NEXORA without obligation.

Article 13 – Liability

To the fullest extent permitted by French law applicable to professionals, NEXORA is not liable for indirect damages (loss of profit, data, business interruption), blockchain congestion, third-party RPC failures, or losses arising from compromised Merchant credentials or exported private keys. Aggregate liability for a given year is limited to the fees paid to NEXORA for the Platform during the twelve (12) months preceding the claim, except for fraud, gross negligence or mandatory liability that cannot be limited.

Article 14 – Suspension and termination

We may suspend or restrict access in case of security risk, unpaid fees, abuse, or legal obligation. You may stop using the Platform at any time; export any keys or data you need beforehand. Provisions that by nature should survive (IP, liability, confidentiality) remain in force.

Article 15 – Governing law and courts

These Terms are governed by French law. Subject to mandatory rules, disputes shall be submitted to the competent courts within the jurisdiction of the registered office of NEXORA.
